1. Acceptance of Terms
By accessing, registering for, or using the NoboLux ERP platform, associated dashboards, API hooks, and cloud databases, you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal corporate entity, you represent that you have the organizational authority to bind such entity to these rules.
2. User Accounts & Security
To access specific automation modules, you must create a corporate user account. You are solely responsible for maintaining the confidentiality of your credentials (including API keys, passwords, and database access logs) and for all operations conducted through your account. You agree to alert NoboLux support immediately of any unauthorized breach of account nodes or security systems.
3. Software Licensing & Use Limits
NoboLux ERP grants your organization a non-exclusive, non-transferable, revocable license to access and run our cloud ERP software. Under this agreement, you must not:
- Reverse engineer, compile, or attempt to extract the source code of our central automation engines.
- Use the system to host or transmit malicious files, viruses, or spam API calls.
- Exceed the transaction quotas or bandwidth limits associated with your subscribed pricing tier.
4. Intellectual Property
All content, algorithms, database models, canvas interfaces, design mockups, trade secrets, logos, and scripts associated with NoboLux ERP remain the exclusive property of NoboLux. Your data records and inventory database files uploaded to our cloud host remain the sole intellectual property of your company.
5. Limitation of Liability
NoboLux ERP is provided "as is" and "as available". To the maximum extent permitted by law, NoboLux shall not be liable for any indirect, incidental, special, or consequential damages—including loss of sales, transaction failure losses, data corruption, or system downtime costs—incurred through the usage or inability to use our software modules.
6. Account Suspension & Termination
We reserve the right to temporarily suspend or permanently terminate your access to NoboLux ERP nodes, without notice, if we identify critical violations of these Terms, non-payment of subscription fees, or activities that threaten the security of our shared cloud infrastructure.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Dhaka.
